Terms of Service

1. Agreement and Scope

These Terms of Service (“Terms”) govern access to and use of the websites, applications, software, subscriptions, digital services, and related features operated by CodeConda LLC, an Arizona limited liability company (“CodeConda,” “we,” “us,” or “our”), collectively, the “Services.” By creating an account, purchasing, or using a Service, you agree to these Terms. If you use a Service for an organization, you represent that you have authority to bind it, and “you” includes that organization.

The Services include CodeConda-operated products such as Anifusion, Linguana, PhotoTag.ai, JacSend, FlowPost, i18nowAI, ShopTag.ai, Contact Congress, Yahrzeit Alerts, Jaclyn's Company Game, and Moose Minutes. We may add, remove, rename, acquire, sell, or discontinue Services over time. The product list on our apps page may provide additional current examples, but these Terms apply to any Service that is owned or operated by CodeConda LLC unless a supplemental notice says otherwise.

If you do not agree, do not use the Services. Certain Services or features may have supplemental terms presented at purchase or use. By agreeing to these Terms, you also agree that the policies and supplemental terms referenced in these Terms apply to your use of the Services to the extent stated in those documents and in Section 20. The Acceptable Use Policy governs conduct. The Refund Policy governs refund requests. The Privacy Policy and Cookie Policy are notices describing data practices and choices, including how technologies and consent choices may vary by Service and domain; they do not eliminate statutory privacy rights. The Data Processing Agreement applies only when incorporated into a qualifying business agreement and CodeConda processes personal data on the customer's behalf.

2. Eligibility, Age, and Accounts

You must be at least 13 years old and legally permitted to use the relevant Service. If you are below the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms for you, and you may use only Services that permit use at your age. Certain Services or features require users to be at least 18 or the age of legal majority, as stated in the applicable signup flow or supplemental notice. You may not use the Services if prohibited by applicable sanctions, export controls, or other law.

You must provide accurate information, keep it current, protect credentials and access tokens, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account and for users you authorize, except to the extent responsibility cannot lawfully be assigned to you. We may reject account names, require verification, or limit multiple accounts used to evade restrictions.

3. Communications

By creating an account, providing an email address, or otherwise requesting a Service, you authorize us to send transactional and service-related communications, including verification, security, billing, support, reminder, product-operation, and legal notices. Where permitted by law and consistent with your choices, we may also send promotional communications. You may opt out of promotional emails at any time using the unsubscribe link in the message or by contacting support through our support page. Opting out of promotional emails will not stop essential transactional or service-related communications.

4. SaaS License and Restrictions

Subject to these Terms and payment of applicable fees, CodeConda grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to access and use the Services during the applicable term for personal purposes or your internal business purposes. This is a hosted software license, not a sale of software or ownership of the Services.

You may not copy, sell, rent, sublicense, reverse engineer, bypass access or usage controls, interfere with security, extract models or datasets, use unauthorized automated access, or use the Services in violation of the Acceptable Use Policy, except where a restriction is prohibited by law.

5. Plans, Trials, Subscriptions, and Renewal

Services may be free, paid once, usage-based, or offered by automatically renewing subscription. The checkout or order page identifies the plan, price, currency, billing interval, included usage, and material purchase terms. A trial may convert to a paid subscription on the disclosed date unless canceled before conversion. Unless stated otherwise at checkout, subscriptions automatically renew for successive periods at the then-current disclosed price until canceled.

You authorize CodeConda, the payment processor, or the merchant of record identified at checkout to charge the payment method for purchases, renewals, applicable taxes, and authorized adjustments. Cancel through the account billing portal where available or through our support page. Cancellation stops future renewals and ordinarily takes effect at the end of the paid period. It does not by itself refund prior charges or unused time. We will provide renewal or price-change notices where required by law.

6. Credits, Usage, and Failed Jobs

Certain Services use credits, quotas, storage limits, rate limits, or metered usage. Credits are a limited contractual right to request eligible processing, have no cash value, are not currency or property, may be Service-specific, and may expire as disclosed when issued or purchased. Promotional credits may have additional conditions and generally are not refundable.

A job may consume credits when processing begins or completes, depending on the Service. If a job fails because of a verified Service or upstream-provider error, we may automatically restore credits or restore them after review. A credit restoration is not a cash refund. User input errors, unsupported files, policy violations, abandoned jobs, or usable but unwanted outputs do not necessarily qualify as failed jobs.

7. Payments, Taxes, and Providers

You must provide a valid payment method and accurate billing information. Prices may vary by region, currency, plan, or provider. Taxes are charged where the party responsible for the transaction is required to collect them. A payment processor facilitates payment, while a merchant of record may act as seller and handle billing, tax, or refunds under its checkout terms. The role of Stripe, PayPal, or another provider depends on the specific transaction and should not be inferred from provider branding alone.

Except where CodeConda or a merchant of record has a non-waivable duty to collect or remit a tax, you are responsible for taxes legally imposed on your purchase or business use. Payment failures may result in retry attempts, suspension, downgrade, or cancellation. Billing disputes and duplicate or unauthorized charge claims should be reported promptly through our support page.

8. Refunds

The Services are digital-only. Refund eligibility, first-purchase requests, renewals, credits, failed jobs, duplicate or unauthorized charges, provider timing, and mandatory consumer remedies are addressed in the Refund Policy, which is incorporated into these Terms for paid Services. Nothing in these Terms limits non-waivable refund, cancellation, withdrawal, or consumer rights.

9. User Content and Service License

“User Content” includes prompts, uploads, files, text, images, audio, video, metadata, translations, URLs, configurations, generated or edited outputs, and other materials submitted, stored, created, imported, hosted, or published through the Services. As between you and CodeConda, you retain rights you hold in User Content. CodeConda does not claim ownership merely because it is processed by a Service.

You grant CodeConda and its service providers a worldwide, nonexclusive, royalty-free license to host, copy, transmit, transform, format, display, and otherwise process User Content only as reasonably necessary to provide, secure, maintain, and support the Services, comply with your instructions, enforce these Terms, satisfy legal obligations, and permit provider logging, safety review, quality improvement, or model improvement where disclosed in the Privacy Policy and allowed by the applicable feature and provider terms. The license lasts while needed for those purposes, subject to the retention and deletion terms in our Privacy Policy. If you intentionally publish or share content, the license includes making it available as directed until removed, while cached, backup, recipient, or third-party copies may persist.

You represent that you have the copyright, privacy, publicity, and other rights, permissions, notices, and lawful basis needed for User Content and its requested use, including any third-party material and identifying features of people depicted. Private prompts, uploads, and projects are not public merely because they are submitted. You are responsible for selecting any publication or sharing setting and for reviewing content before publication. If a Service stores, hosts, translates, publishes, or serves User Content at your direction, you are responsible for that User Content, and CodeConda acts as a technical service provider except for content CodeConda creates or expressly identifies as its own.

10. AI and Generated Outputs

Certain Services use artificial intelligence or automated tools. Outputs may be inaccurate, incomplete, biased, offensive, nonunique, or unsuitable, and may resemble content provided to or generated for others. CodeConda does not guarantee factual accuracy, legal compliance, ownership, non-infringement, uniqueness, or fitness for a particular purpose. Outputs are not legal, medical, financial, or other professional advice.

You are responsible for prompts, uploads, review, human oversight, disclosures, and decisions to use or publish outputs. To the extent permitted by applicable law, third-party rights, provider terms, and any Service-specific restriction presented to you, you may use outputs for lawful personal, internal-business, or commercial purposes. This permission is not a representation that an output is protectable, owned exclusively by you, non-infringing, or cleared for a particular use, and no ownership right is granted where law does not recognize one. Provider retention, human review, and model-training practices vary as described in the Privacy Policy.

11. Connected Platforms

A Service may connect to third-party accounts, platforms, APIs, data sources, or publishing tools. You authorize us to access and act on the connected platform only as needed for the feature you request. You are responsible for permissions, recipients, content, account security, and compliance with the platform's terms. Third-party platforms can change, reject, delay, remove, or disclose content, revoke access, or become unavailable. We are not responsible for their independent acts or services.

12. Our Intellectual Property and Feedback

CodeConda and its licensors own the Services, software, interfaces, branding, documentation, and related intellectual property, excluding User Content. No rights are granted except the limited license in these Terms. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

13. Availability, Changes, and Beta Features

We may modify, add, remove, limit, or discontinue features, plans, models, integrations, or Services. We do not promise uninterrupted, secure, or error-free operation, preservation of every output, or compatibility with every device or platform. Scheduled maintenance, provider failures, capacity, law, security, or abuse may affect availability. Where required, we will provide notice or remedies for material adverse changes to paid Services.

The Services may not function as intended with every browser, device, operating system, network configuration, virtual private network (VPN), proxy, firewall, privacy tool, content blocker, browser extension, or security setting. These technologies and configurations may affect availability, authentication, checkout, localization, pricing displays, cookie preferences, integrations, or other functionality. If you experience an issue, try a current version of a commonly used browser and contact us through our support page with relevant details. We may investigate and provide reasonable assistance, but we do not guarantee compatibility with every configuration or that every issue can be corrected. Nothing in this paragraph limits any right or remedy that cannot lawfully be limited.

Preview, beta, experimental, or free features may be changed or withdrawn and may have additional limitations. You should retain independent copies of content and outputs needed for your records or operations.

14. Suspension and Termination

You may stop using a Service and may close your account subject to active subscriptions and applicable instructions. We may restrict, suspend, or terminate access, remove content, or preserve evidence when reasonably necessary for security, legal compliance, nonpayment, material or repeated breach, risk to others, or enforcement of the Acceptable Use Policy. In emergencies we may act without advance notice. Where practicable and appropriate, we will provide notice and an opportunity to resolve or request review.

Upon termination, your license ends and amounts already due remain payable. Sections concerning ownership, User Content licenses needed for residual processing, payment obligations, disclaimers, liability, indemnity, disputes, and other provisions that by nature should survive will survive.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” CODECONDA DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT OUTPUTS, THIRD-PARTY SERVICES, CONTINUOUS AVAILABILITY, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS. NOTHING IN THIS SECTION EXCLUDES WARRANTIES OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODECONDA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS (US$100) OR THE FEES PAID OR PAYABLE FOR THE AFFECTED SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations apply to the extent allowed by law and do not limit liability or remedies that cannot lawfully be limited, including applicable rights under mandatory consumer or data protection law.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless CodeConda and its affiliates, officers, employees, and providers from third-party claims and reasonable costs arising from your User Content, unlawful use, infringement of another's rights, or material breach of these Terms or the Acceptable Use Policy. This obligation does not apply to the extent a claim results from CodeConda's own breach, negligence, willful misconduct, or unlawful conduct, and it does not apply where prohibited by mandatory consumer law. We will provide reasonable notice and cooperation, and you may not settle a claim in a manner that admits our fault or imposes obligations on us without consent.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law rules. Subject to non-waivable rights to bring a claim elsewhere, the state and federal courts located in Arizona have exclusive jurisdiction, and the parties consent to venue there. To the extent permitted by law, claims must be brought on an individual basis rather than through a class, collective, or representative action. Nothing in this section deprives a consumer of protections, collective procedures, or forums that cannot lawfully be waived under the law of the consumer's residence.

19. Changes to These Terms

We may update these Terms. We will post the updated version and revise the “Last Updated” date. For material changes, including changes materially affecting subscriptions or existing contractual rights, we will provide advance or additional notice where required or reasonably appropriate. Changes apply prospectively from their stated effective date. If you do not agree, you must stop using the affected Service and cancel future renewals before the change takes effect, subject to any mandatory remedies.

20. Document Precedence

For a specific conflict, a signed order form or supplemental Service terms control for their subject matter, then an applicable Data Processing Agreement controls solely for customer personal data processed on the customer's behalf, then these Terms control general use, the Refund Policy controls refund eligibility, and the Acceptable Use Policy controls conduct. The Legal Disclaimers supplement these Terms and control only where they expressly address the specific conflict. The Privacy Policy and Cookie Policy govern our privacy disclosures and choices and do not waive statutory rights. Mandatory law controls over every document.

If a legacy, cached, stored, mirrored, or differently hosted copy of these Terms or another referenced policy conflicts with the current version published through CodeConda's canonical policy pages, the current canonical version controls from its stated effective date, subject to required notice, consent, and non-waivable rights.

21. General Terms

Neither party is liable for delay caused by events beyond reasonable control, except payment obligations for Services already provided and obligations that cannot lawfully be excused. If a provision is unenforceable, it will be modified only as necessary and the rest remains effective. Our failure to enforce is not a waiver. You may not assign these Terms without our consent, except where law permits; we may assign them in connection with a reorganization or transfer of the relevant business. These Terms and incorporated documents are the entire agreement about their subject matter.

Providing support, investigating an issue, issuing or denying a refund or credit, restoring credits, restricting an account, removing content, sending a notice, cooperating with a request, or taking a precautionary or remedial step does not, by itself, constitute an admission of fault, liability, wrongdoing, breach, legal violation, or inadequacy of prior practices. This provision does not limit an obligation, right, remedy, disclosure, or evidentiary rule that applies under law.
